Terms and Conditions of Service

PREAMBLE AND RECITALS

WHEREAS Lotuslion Venture LLP ("Company") is a limited liability partnership duly incorporated and validly existing under the laws of India, engaged in the business of providing specialized financial education services, proprietary investment learning methodologies, and related technological solutions;

AND WHEREAS the Company has developed, created, and owns exclusive intellectual property rights in and to certain financial education curricula, investment analysis frameworks, market research methodologies, assessment tools, and related materials collectively constituting "The Complete Indian Stock Investor" educational program ("Educational Services");

AND WHEREAS the Company desires to establish comprehensive terms and conditions governing the access to, use of, and participation in its Educational Services through its digital platform and related technological infrastructure;

AND WHEREAS it is necessary to establish clear parameters for the protection of the Company's legitimate commercial interests, intellectual property rights, and proprietary information while defining the rights and obligations of users accessing such Educational Services;

NOW THEREFORE the Company hereby establishes these Terms and Conditions of Service ("Terms") which shall govern all access to and use of the Company's Educational Services, digital platform, and related facilities.

ARTICLE I: DEFINITIONS, INTERPRETATIONS AND CONSTRUCTION

1.1 Definitional Framework

For the purposes of these Terms, and unless the context otherwise requires or admits of a different construction, the following expressions shall bear the meanings hereinafter respectively assigned to them:

(a) "User" shall mean and include any natural person, Hindu Undivided Family, company, partnership firm, limited liability partnership, society, trust, or any other legal entity, whether incorporated or unincorporated, resident or non-resident, who accesses, uses, or attempts to access or use the Platform or Educational Services, and shall include such person's successors-in-interest, assigns, legal representatives, heirs, executors, administrators, and permitted transferees;

(b) "Subscriber" shall mean and include any User who has executed a Subscription Agreement with the Company for the provision of Educational Services, including both paid subscribers and those accessing services under promotional or trial arrangements;

(c) "Platform" shall mean and include the Company's proprietary digital infrastructure for financial education, including but not limited to websites, mobile applications, learning management systems, content delivery networks, user interfaces, databases, servers, investment simulation tools, and all related technological components through which Educational Services are delivered;

(d) "Educational Services" shall mean and include the entirety of financial education content, investment curricula, analysis modules, market research lessons, assessment tools, examinations, interactive elements, multimedia presentations, downloadable resources, templates, frameworks, supplementary materials, community access, forum participation rights, certification programs, and all other services, facilities, and benefits provided by the Company, whether existing as of the date of these Terms or subsequently added, modified, or enhanced;

ARTICLE II: ACCEPTANCE AND BINDING EFFECT

2.1 Manifestation of Acceptance

These Terms shall become binding upon any User through any one or more of the following manifestations of acceptance:

(a) Electronic acceptance through clicking "I Agree," "Accept," or similar affirmative action during registration or subscription processes;

(b) Payment processing for Educational Services, which shall constitute conclusive evidence of acceptance;

(c) Access to or use of the Platform or Educational Services, whether through active engagement or passive browsing;

(d) Creation of user accounts, profiles, or other Platform interactions;

ARTICLE III: SCOPE AND NATURE OF EDUCATIONAL SERVICES

3.1 Investment Education Service Description and Framework

The Company provides Educational Services designed to impart knowledge, skills, and methodologies related to investment analysis, market research, portfolio construction, risk assessment, and related financial education competencies.

3.2 Educational Disclaimers and Limitations

3.2.1 Educational Purpose Limitation

The Educational Services are provided solely for educational and informational purposes. Users acknowledge and agree that:

(a) The Educational Services do not constitute investment advice, financial advisory services, portfolio management services, research analyst recommendations, or personalized investment guidance;

(b) The Company does not provide individualized investment recommendations tailored to specific financial situations, risk profiles, or investment objectives;

3.2.2 SEBI Registration Disclaimer

The Company explicitly disclaims and Users acknowledge that:

(a) Lotuslion Venture LLP is NOT registered as an investment advisor under the Securities and Exchange Board of India (Investment Advisers) Regulations, 2013;

(b) The Company is NOT registered as a research analyst under the Securities and Exchange Board of India (Research Analysts) Regulations, 2014;

(c) The Educational Services do not constitute research reports, investment recommendations, or advisory services as defined under SEBI regulations;

ARTICLE IV: PAYMENT TERMS AND FINANCIAL OBLIGATIONS

7.1 Subscription Fees and Pricing Structure

Educational Services are provided at the current subscription fee of ₹9,999 (Rupees Nine Thousand Nine Hundred and Ninety-Nine Only) for "The Complete Indian Stock Investor" educational program.

ARTICLE V: INTELLECTUAL PROPERTY RIGHTS AND PROTECTION

6.1 Company Ownership Rights

The Company exclusively owns all right, title, and interest in and to all Educational Services content, the Platform, trademarks, copyrightable materials, and trade secrets. Violation of intellectual property rights shall entitle the Company to immediate injunctive relief and liquidated damages of ₹2,00,000 (Two Lakh Rupees) per instance of unauthorized commercial use or distribution of investment education content.

ARTICLE VI: LIMITATION OF LIABILITY AND RISK ALLOCATION

9.1 Educational Service Provision Disclaimers

Educational Services are provided on an "as-is" and "as-available" basis without warranties of any kind. The Company's total aggregate liability shall not exceed the total amount paid by the User in the twelve (12) months preceding the event giving rise to liability.

ARTICLE VII: DISPUTE RESOLUTION AND ARBITRATION

11.1 Mandatory Alternative Dispute Resolution

All disputes shall be resolved exclusively through binding arbitration in Mumbai, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 2015.

ARTICLE VIII: GOVERNING LAW AND JURISDICTION

13.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, Information Technology Act, 2000, Consumer Protection Act, 2019, and all other applicable laws of India relating to educational services and commercial transactions.

By accessing or using the Platform or Educational Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions of Service. These Terms contain important legal obligations and significantly affect your rights. You are advised to seek independent legal counsel if you require clarification of any provision contained herein.

You specifically acknowledge that the Educational Services are for educational purposes only and do not constitute investment advice. You understand that the Company is not registered with SEBI as an investment advisor or research analyst, and you will not treat educational content as personalized investment recommendations.

Your continued use of our services constitutes ongoing acceptance of these Terms as they may be modified from time to time in accordance with the procedures set forth herein.
